This Decree regulates in details 2020 Law on Enterprises in terms of documents and procedures for registration of enterprises and household businesses.

Accordingly, similar to Decree No. 108/2018/ND-CP , this Decree continues regulating that enterprise is not required to append a seal on documents included in the application for enterprise registration such as the application form for enterprise registration, resolutions, decisions and minutes of meeting, etc.

However, this Decree specifies that in case the contents of an enterprise registration certificate in the form of electronic data on the National Enterprise Registration Database are different from those of the paper certificate, the one on which the information is consistent with the information included in the application for enterprise registration shall prevail.

Any documents included in the application for enterprise registration made in foreign language must be accompanied by their notarized Vietnamese translations

Under this new Decree, the enterprise ID number is also the enterprise’s taxpayer identification number (TIN) and social insurance participant’s code.

This Decree takes effect from January 4th, 2021.

This Decree replaces Decree No. 78/2015/ND-CP dated September 14th, 2015 and Decree No. 108/2018/ND-CP dated August 23rd, 2018.
